CANDIDATE CONFIDENTIALITY AND NON-COMPETITION AGREEMENT
This agreement entered into on ______________ by and between __________________________________________
(Candidate) whose address is ____________________________________________________________________
and Resourcesoft Inc. with a principal place of business at 33 Boston Post Road West, Suite 230, Marlborough,
MA 01752.
Whereas, Resourcesoft Inc. has clients in need of Information Technology (IT) consulting services, and is considering
utilizing Candidate to meet those needs; and
Whereas, Resourcesoft Inc. is desirous of protecting its relationships with its client companies to be discussed, (the
“Client”) and the business expectancies which have resulted from its efforts, and would not agree to introduce/place
Candidate in any position with its Client without the promises and commitments made by Candidate herein; and
Whereas, Candidate wishes to provide consulting services to the Client and/or be placed permanently with the Client
and understands that he/she would not be introduced/placed by Resourcesoft Inc. in a position with Client in the
absence of the promises and commitments made herein.
NOW THEREFORE, in consideration of the promises and of the mutual covenants and agreements set forth herein,
Resourcesoft Inc. and Candidate agree as follows:
Resourcesoft Inc. will engage the Candidate to perform work for its Client in accordance with the terms and
conditions of the written agreement between Resourcesoft Inc. and Candidate and/or between the Candidate and Client
for a consulting services engagement and/or permanent position.
Candidate agrees for a period of one (1) year after introduction of Client he/she shall not compete with
Resourcesoft Inc. in any manner, either directly or indirectly, whether for compensation or otherwise, or assist any
person or entity to compete with Resourcesoft Inc., with respect to Client, including referring any other person or
persons to the client company for hire or employment.
Candidate shall indemnify Resourcesoft Inc. for all costs, including reasonable attorney fees, incurred as a result of
Candidate’s breach of this agreement.
